1. About these terms
These Terms of Use apply to Palmer Edge Console, also described as our AI Campaign Manager app, operated by Palmer Edge Marketing FZCO, Dubai, United Arab Emirates. “We”, “us” and “our” refer to that company. “You” means the authorised person or business using the app.
The app connects authorised Meta business assets to AI-assisted advertising workflows. It may be used through Meta’s Ads MCP server, the Marketing API and connected assistants such as Claude, Codex or ChatGPT. It is not operated by or endorsed by Meta, OpenAI or Anthropic.
Use the app only if you accept these terms to the extent they form an enforceable agreement under applicable law. If you do not agree, do not connect or use it.
3. What the app does
Depending on available tools, permissions and account eligibility, the app may retrieve advertising data, analyse performance, upload media, prepare creative, create or edit campaigns, ad sets and ads, and manage delivery settings. Optional functions may include leads, audiences, catalogues or partnership advertising where separately authorised.
Available functions can vary by account, platform, client interface and rollout status. Connecting an account does not guarantee that every feature is available. We may decline tasks that exceed the agreed scope or cannot be performed reliably or lawfully.
4. Instructions, approvals and live changes
You are responsible for identifying who may issue instructions and approve advertising on behalf of your business. Instructions must identify the intended account, task and any limits that matter, including budget, location, schedule, assets, tracking and approval requirements.
Connecting the app or granting permissions is not blanket approval to launch ads, increase budgets or spend money. Authority for live changes must come from the instructions or approval arrangement agreed for the task.
Review proposed copy, claims, creatives, targeting, destination URLs, tracking and budgets before approving publication. We must follow an instruction to keep work paused or in draft. A successful tool call does not necessarily mean an ad is published, approved or delivering; those states should be checked separately.
Do not assume that all creation or editing tools produce drafts or paused objects. Tool behaviour can differ. An approved activation or live edit can take effect promptly, and Meta may continue processing previously authorised operations. Tell us promptly if an instruction is incorrect or authority changes.
5. Ad spend, fees and third-party charges
Meta advertising charges, AI subscriptions and other third-party fees are separate from our service fees unless expressly included in a written agreement. You remain responsible for charges arising from advertising you authorise and for maintaining the relevant billing arrangements.
Before authorising spend, specify the amount, currency, daily or lifetime basis, schedule and account. Platform budget settings and delivery rules govern how advertising is charged; a displayed daily budget should not be treated as a guaranteed exact daily charge.
We will not treat these terms as authority for an unagreed budget increase, purchase, subscription or service fee. The agreed engagement determines our fees, payment terms, cancellation and refund arrangements. These terms create no new subscription, renewal, cancellation fee or universal no-refund rule.
6. Your materials and lawful use
You must have the rights and permissions needed for the information and materials you supply, including images, videos, music, trademarks, customer information and testimonials. Claims, offers, prices and destinations must be accurate and supported, and your products and services must comply with applicable law.
You must not use the app to evade Meta restrictions, access assets without authority, impersonate others, submit malicious instructions, discriminate unlawfully, make deceptive claims or misuse personal information. Audience uploads and lead processing require the appropriate lawful basis, notices and permissions.
We may refuse or pause instructions that appear unlawful, unauthorised, misleading or inconsistent with platform requirements. Responsibility for compliance follows each party’s role and applicable law; your responsibilities do not remove ours.
7. AI output and human review
AI assistants can misunderstand requests, generate inaccurate information, omit details or propose unsuitable settings. Review is necessary, particularly for factual claims, sensitive targeting, permissions, budgets and publication.
AI-generated content and analysis are working outputs, not guarantees or legal, medical, tax, financial or other regulated professional advice. We do not guarantee originality, exclusivity or intellectual-property protection for every AI-generated element.
Any restrictions on sending confidential or personal information to an AI provider must be agreed before that information is used. The provider’s product terms, account settings and data controls also apply.
8. Account security and permissions
Keep credentials and access tokens confidential, use appropriate roles and access controls, and notify us promptly of suspected compromise or unexpected account activity. Do not send access tokens or passwords in general support messages.
Grant access only to assets needed for the authorised work. Meta’s account-level rules, including Ads MCP rules where available, can restrict actions and budget changes. Restrictions should be checked in the relevant business settings.
You can revoke the integration in Meta’s Business Integrations settings, disconnect a connected AI client, or revoke or replace a manually configured token. Separate connections or tokens may need separate revocation. Removing app access does not automatically pause existing live ads or cancel platform charges.
9. Privacy and confidential information
Our AI Campaign Manager privacy policy explains the information accessed, its use, recipients, retention and deletion requests. Client-controlled personal data may also require a written data processing agreement or specific instructions.
Confidential information must be used only as authorised for the engagement, shared only as necessary with appropriate recipients or where legally required, and handled consistently with agreed confidentiality requirements. These terms do not authorise unrestricted disclosure or sale of client data.
To request deletion of information held by us, contact [email protected]. Deletion of our records is distinct from removing ads, creatives or records held by Meta or an AI provider.
10. Accounts and intellectual property
You retain your existing rights in your business accounts, data and materials. You grant us permission to use supplied materials and connected assets only as needed to perform the authorised work, subject to the rights you can lawfully grant.
Ownership and handover of commissioned deliverables are governed by the client agreement. Our pre-existing tools, methods, branding and know-how remain ours unless expressly transferred. Third-party content and technology remain subject to their own licences and terms.
Connecting the app does not transfer ownership of your Meta assets or give us an unrestricted licence to publish your confidential information or identifiable results.
11. Third-party services and availability
Meta, OpenAI, Anthropic and other providers operate their own services under their own terms. You must comply with the terms applicable to your accounts and use. We cannot guarantee their availability, feature access, approval decisions or continued support for a particular integration.
API changes, expired tokens, missing permissions, reviews, account restrictions, outages and rate limits may interrupt work. We may need to suspend a task or request renewed access. We do not guarantee uninterrupted access or that every requested operation will succeed.
Advertising performance depends on many factors. We do not guarantee ad approval, delivery, revenue, return on spend, leads, bookings or sales. Any express written guarantee applies only on its stated terms.
12. Suspension and ending access
You may stop using the app and revoke access at any time. Any ongoing agency engagement, fees, notice periods and handover obligations remain governed by the written agreement and applicable law.
We may restrict or suspend app access where reasonably necessary for security, legal or platform compliance, loss of required permissions, or termination of the relevant engagement. Where appropriate and practicable, we will communicate the reason and any steps needed to resolve it.
Ending access does not automatically delete stored information, remove existing ads or stop their delivery. Arrange any campaign shutdown, asset handover and deletion requests expressly with the authorised account owner.
13. Responsibility and mandatory rights
We aim to perform agreed services with reasonable care and skill. Any specific allocation of liability or monetary cap for an engagement must be set out in the applicable client agreement. These terms do not introduce a new monetary cap, indemnity or waiver into an existing engagement.
We are not responsible for a third party’s independent acts or a user’s unauthorised conduct except where applicable law or our agreement makes us responsible. This does not exclude responsibility for our own acts or omissions where the law imposes it.
Nothing in these terms excludes liability or limits rights that cannot lawfully be excluded or limited. Mandatory protections continue to apply. An unenforceable provision applies only to the extent permitted without automatically invalidating the rest.
14. Client agreements, disputes and updates
A specific written client agreement takes precedence over these general app terms for that engagement, subject to applicable law. These terms do not retrospectively change agreed commercial conditions or platform contracts.
Unless your written agreement provides otherwise, these terms are governed by the laws applicable in Dubai and the United Arab Emirates, subject to mandatory protections that apply to you. A dispute may be brought before a forum with lawful jurisdiction. Nothing prevents a complaint to a competent authority or use of a forum required by mandatory law.
Contact us first so we can investigate concerns. We may update these terms as the app and workflows change. Material changes to an existing engagement must follow its agreed process; editing this page alone does not impose new charges or retrospectively authorise actions.
